HISTORY
The first company was founded on 14 November 1964, thanks to the guide and fortunate intuition of the Bucci Casari family, with the name Noleggi Turistici Argentario, which in 1968 was transformed into what would be its name until today: Nautica Cala Galera.
The company immediately distinguished itself in the nautical sector for the use of state-of-the-art machinery and equipment. Already in 1972, even before the Cala Galera marina was completed, it could boast one of the first travel-lift models, then called “motoscalo”.
In the summer of 1974, with the completion of the tourist Marina Cala Galera, was built one of the biggest slipway in the Tyrrhenian Sea, which allowed Nautica Cala Galera to increase its activities.
In June 1986, after about twenty years of activity, the Bucci Casari family sold the shareholding to an important Italian industrial group that still holds control today. The new shareholder drew up a new business plan and started a series of significant investments for the acquisition of establishments and machinery that are still in operation and thanks to which Nautica Cala Galera is one of Argentario’s best-known in the refit and repair services.

CODE OF ETHICS
NAUTICA CALA GALERA SPA conducts its activities in compliance with the principles and rules of conduct expressed in this Code of Ethics.
All activities are carried out in accordance with the principles of honesty, fairness and integrity, respecting the legitimate interests of employees, customers, shareholders if any, business and financial partners and the community in which the company is located. Therefore, all those who work for NAUTICA CALA GALERA SPA undertake to observe and ensure that these principles are observed within the scope of their functions and responsibilities.
The conviction of acting for the benefit of the company cannot in any way justify the adoption of behaviour in contrast with these principles.
This Code of Ethics applies to the entire organisation and must be observed by managers, employees and collaborators, as well as by those who, directly or indirectly, permanently or temporarily, establish relations or relationships with the company.
NAUTICA CALA GALERA SPA undertakes, therefore, to disseminate this Code to all interested parties and to verify its effective application. For external subjects, the verification of the code’s application takes place when these subjects establish working relations with the organisation. To this end, a Monocratic Supervisory Boardp has been identified with the task, among other things, of supervising the application of the Code.
This Code is approved by the Board of Directors, which delegates its application to the MANAGEMENT.
2 – Principles
The company operates in compliance with current laws, professional ethics and internal regulations. The pursuit of the company’s interests can never justify conduct contrary to the principles of legality, fairness and honesty.
Relations with interlocutors are based on criteria and behaviours of fairness, collaboration, loyalty and mutual respect.
It is the commitment of the NAUTICA CALA GALERA SPA to inform its stakeholders in a clear and transparent way about its objectives and its choice, without favouring any interest group or individual.
The company ensures the adoption of procedures to guarantee the confidentiality of the information in its possession, compliance with the regulations on personal data and refrains from seeking confidential data through illegal means.
The Recipients of the Code are forbidden to use confidential information for purposes not connected with the exercise of their professional activity.
The NAUTICA CALA GALERA SPA ensures respect for the physical and cultural integrity of the person and respect for the dimension of relationship with others.
It also ensures that working conditions within the company are respectful of individual dignity and take place in safe working environments.
NAUTICA CALA GALERA SPA undertakes to conduct with its workers the applicable employment contracts in accordance with current legislation.
The Company undertakes to avoid any discrimination on the basis of age, sex, sexuality, health status, race, nationality, political opinions and religious beliefs, in all decisions affecting relations with its stakeholders.
The Company endeavours to avoid situations in which those involved in transactions are or may appear to be in conflict with its interests, whether they are suppliers, customers or employees.
Therefore, situations in which the Recipients pursue interests other than the company mission or take personal advantage of business opportunities are opposed.
The Company intends to protect the value of fair competition, refraining from conduct that favours the conclusion of business to its own advantage in violation of laws or regulations in force and recognising that fair and correct competition is a fundamental element for the development of the company and the market.
The Organisation defines a policy to ensure the best possible protection of health and safety in the workplace and prevention from all potential forms of risk with a view to continuous improvement.
This policy is valid both for its own employees and for the employees of external companies, who intervene at the NAUTICA CALA GALERA SPA sites.
In order to develop and control compliance with Health and Safety management, NAUTICA CALA GALERA SPA uses a system implemented, shared and updated, which is checked periodically. The same refers to the Simplified Procedures for the adoption of organisation and management models 13 February 2014.
All employees, collaborators and third parties are required to scrupulously comply with all the measures required by internal procedures and regulations on Health and Safety at Work, drawn up and updated in accordance with current legislation.
As part of its activities, the Organisation is committed to operating in respect of the environment, according to the principles of sustainable development.
NAUTICA CALA GALERA SPA intends to conduct its investments and development in a sustainable way, respecting the environment and local communities.
3 – Rules of conduct
The primary objective is to enhance the investment of its shareholders by pursuing a development policy capable of guaranteeing intellectual gratification and satisfactory economic results over time.
NAUTICA CALA GALERA SPA is committed to creating conditions so that the decisions within the competence of the Legal Directors are widespread and conscientious, promoting equality and completeness of information to protect their interests and those of all employees.
NAUTICA CALA GALERA SPA is aware that the circulation of correct and transparent information is a fundamental requirement for the market, suppliers, employees and all stakeholders.
The Company undertakes to communicate truthful and transparent information to the outside world by means of special notices.
Advertising promotion respects the ethical principles of the reference context.
Customers constitute the main corporate structure, which pursues its mission by offering quality services at competitive conditions and in compliance with the rules protecting fair competition.
The style of behaviour towards customers is marked by availability and respect, with a view to a highly professional relationship.
It is recommended to employees and collaborators to:
- • provide, with efficiency, courtesy and timeliness, within the limits of contractual provisions, high-quality services that meet the reasonable expectations and needs of the customer;
- provide, where necessary and in the ways and forms provided for by company policies, accurate and comprehensive information about the products and services offered, so that the customer can make informed decisions;
- adhere to the truth in advertising or other communication.
Relations with suppliers are based on the search for maximum competitive advantage, the granting of equal opportunities for those involved, loyalty and impartiality.
The Company undertakes to require its suppliers and external collaborators to respect behavioural principles corresponding to its own, considering this aspect of fundamental importance for the establishment or continuation of a business relationship. Every supplier, business partner or independent contractor must be informed of the Code and the relative commitments.
Its dissemination takes place through the inclusion in paper form, which document relations with suppliers, of specific reference links to the internet page where the CE is reported.
The aspects relating to compliance with the CE are even more binding as regards safety in the workplace.
The selection of suppliers and the determination of purchasing conditions are based on an objective evaluation of quality, price and the ability to supply and guarantee goods and services of an adequate level.
In the selection process, carried out in a clear and non-discriminatory manner, only criteria linked to the objective competitiveness of the services and products offered and their quality are used.
For NAUTICA CALA GALERA SPA, the following are therefore reference requirements:
- professionalism and experience of the interlocutor;
- availability, suitably documented, of means, including financial means, organised structures, project capacities and resources, know-how, etc.;
- existence of quality, safety and environmental systems;
- existence of quality, safety and environmental systems;
- complete implementation of all the provisions of current legislation regarding safety in the workplace, which is the initial solution for any subsequent collaboration.
In the relationships of procurement, provision and, in general, supply of goods and services, it is mandatory for employees and collaborators to:
- • adopt, when selecting the supplier, the evaluation criteria provided for by existing procedures, where applicable, objectively and transparently applied;
- n• refrain from excluding anyone in possession of the requisites from competing for contracts, adopting objective and documentable criteria in the choice of candidates;
- ensure sufficient competition for each tender compatible with the purpose and nature of the contract;
- comply with the contractual conditions;
- inform suppliers of the behavioural principles defined in this Code;
- inform suppliers of the behavioural principles relating to safety in the workplace adopted by the Organisation.
The signing of a contract with a supplier and the management of the relationship with the same must always be based on extremely clear relationships.
In order to guarantee the maximum transparency and efficiency of the purchasing process, the Company is committed to preparing:
- adequate traceability of choices made;
- the storage of information and contractual documents for the periods established by current regulations.
The centrality of the Human resources stakeholder (meaning both employees and collaborators who work for the Company in contractual forms other than subordinate employment) and the importance of establishing and maintaining relations based on loyalty and mutual trust is recognised
NAUTICA CALA GALERA SPA is committed to ensuring that all employees/collaborators act loyally in order to comply with the obligations assumed in the employment contract and in the provisions of this Code, ensuring the services requested of them and respecting their commitments.
The assessment of the personnel to be hired is carried out based on the correspondence between the candidates’ profiles and what is expected, as well as the company’s specific requirements, in compliance with the principles of impartiality and equal opportunities for all stakeholders.
All personnel are hired under appropriate employment contracts in accordance with legal obligations.
Once the collaboration has begun, the employee/collaborator receives exhaustive information regarding the characteristics of the duties and functions, the regulatory and remuneration elements and the regulations and conduct for the management of risks related to personal health and safety.

The management of resources is based on considerations of merit profiles and/or correspondence between expected profiles and profiles possessed by resources.
In managing hierarchical relationships, authority is exercised with integrity and fairness, avoiding any abuse. It is an abuse of the position of authority to request, when acting as hierarchical superior, services, personal favours and any behaviour that constitutes a violation of this Code.
Human resources are valued for development and growth.
The competent departments and all those responsible must:
- select, hire, train, pay and manage employees or collaborators without discrimination;
- create a working environment in which personal characteristics cannot give rise to discrimination;
- adopt criteria of merit, competence and in any case strictly professional criteria for any decision concerning an employee or collaborator.
The privacy of employees and associates is protected in compliance with the relevant legislation (Legislative Decree No. 196/03 and amendments).
Any investigation of ideas, preferences, personal tastes and private life of people is excluded.
Employees must process personal data in full compliance with the Privacy Code, following the procedures and directives issued by the relevant company managers.
Each employee/collaborator is required to avoid all situations and activities in which a conflict with the company’s interests may arise. They must also refrain from taking personal advantage of acts of disposition of corporate assets or business opportunities of which they have become aware in the course of carrying out their functions.
In the event that employees or suppliers receive services or benefits from the organisation, these are considered as a service rendered to outsiders without the possibility of granting personal advantages that can be considered as a conflict of interest.
Any situation that may constitute or give rise to a conflict of interest must be promptly notified by each employee/collaborator to his or her superior or company representative, or to the body responsible for supervising the Code. In particular, all employees and collaborators are required to avoid conflicts of interest between their personal and family economic activities and the duties they perform within the establishment to which they belong.
NAUTICA CALA GALERA SPA is committed to ensuring a working environment that complies with current health and safety regulations, promoting responsible behaviour and preserving the management and prevention of risks associated with the performance of professional activities, the health and safety of all employees and collaborators.
All employees and collaborators are required to scrupulously comply with the rules and obligations deriving from the relevant legislation on health, safety and the environment, and to comply with all the measures required by internal procedures and regulations.
In carrying out their duties, the employees/collaborators participate in the process of risk prevention, the protection of environment and health and safety both with respect to themselves and their colleagues and third parties.
Relations between NAUTICA CALA GALERA SPA and Public Institutions are based on the principles of fairness, transparency and collaboration. Any type of behaviour that may be ascribed to a collusive nature or capable of jeopardising the principles expressed in this Code is refused.
The undertaking of commitments with Public Administrations and Public Institutions is reserved for the competent and authorised departments.
The Company rejects any behaviour that may be interpreted as a promise or offer of payments, goods or other benefits of any kind in order to promote and favour its interests and take advantage of them.
It is the commitment of NAUTICA CALA GALERA SPA to avoid any form of gift to public officials or persons in charge of public service, of any kind, Italian or foreign, or to their family members, including via a third party, such as to be able to influence the independence of judgement or induce them to secure any advantage.
Any employee who receives, directly or indirectly, proposals for benefits from public officials, public service employees or employees in general of the Public Administration or other Public Institutions that constitute a similar case, must immediately report to the internal body responsible for supervising the application of the Code, if an employee, or to the contact person, if a third party.
Any relationship with State or international institutions is exclusively attributable to forms of communication aimed at making the company’s activities explicit, at responding to requests or acts of inspection (questions, interpellations), or at making its position known on relevant issues.
To this end, we commit ourselves to:
- operate without any kind of discrimination through the channels of communication with institutional stakeholders at national and international, community and territorial level;
- represent our interests and positions in a transparent, rigorous and coherent manner, avoiding collusive attitudes;
- avoid falsification and/or alteration of statements or documentary data in order to obtain an undue advantage or any other benefit;
- avoid allocating public funds for purposes other than those for which they were obtained.
It is the Company’s commitment not to make contributions, direct or indirect and in any form, to political and trade union parties, movements, committees and organisations, their representatives and candidates, except those due under specific regulations.
The Company fully and scrupulously complies with the rules issued by the Market Regulatory Authorities and does not deny, conceal or delay any information requested by these authorities and other regulatory bodies in their inspection functions.
NAUTICA CALA GALERA SPA intends to spread at all levels a culture that is aware of the existence and usefulness of checks and the assumption of a mentality that is oriented towards the exercise of audits with belief in the positive contribution to improving business efficiency that these audits can make.
Internal audits means all the tools necessary or useful to direct, manage and verify the company’s activities with the aim of ensuring compliance with laws and company procedures, protecting company assets, efficiently managing activities and providing accurate and complete accounting and financial data.
The responsibility for implementing and ensuring an effective internal audit system is common to all levels of the organisational structure; consequently, all employees, within the scope of the functions performed, are responsible for the definition and correct functioning of the audit system.
Everyone must feel that they are the responsible custodian of the company’s assets (tangible and intangible) and no employee may misuse the company’s assets and resources or allow others to do so.
The internal audit managers have free access to data, documentation and information useful for carrying out the audit.
4 – Methods of implementation and audit of the Code
Each employee/collaborator, as well as the bodies that for whatever reason carry out their activity in favour of NAUTICA CALA GALERA SPA, are required to be familiar with the rules contained in the Code and the reference rules that govern the activity carried out within their department, deriving from the Law or internal procedures and regulations.
All employees/collaborators must also explicitly accept their commitments deriving from this Code, at the time of establishment of the employment relationship, first dissemination of the Code or any relevant amendments or additions thereto.
In particular, employees/collaborators are obliged to:
- refrain from behaviour contrary to the rules contained in the Code;
- contact their superiors, company contacts or the body responsible for supervising the Code, if they request clarification on how to apply the Code;
- promptly report (in a non-anonymous form) to superiors, company representatives or the body responsible for supervising the Code any news, directly detected or reported by others, about possible violations of the Code and any request made to them to violate it;
- collaborate with the divisions appointed to verify possible violations;
- adequately inform all third parties with whom they come into contact in the course of their work about the existence of the Code and the commitments and obligations it imposes on external parties;
- demand that third parties comply with the obligations directly related to their activities;
- take the appropriate internal and, if within their competence, external initiatives in the event of failure by third parties to comply with the Code’s provisions.
The Department has set up a Supervisory Board which is responsible for the following tasks in relation to the implementation of the Code:
- monitoring the application of the Code by the Parties concerned, accepting any reports provided by internal and external stakeholders;
- periodically report to Management on the results of the activity carried out, reporting any significant violations of the Code;
- express opinions on the review of the most relevant policies and procedures, in order to ensure their consistency with the Code;
- • provide, where necessary, for the proposed periodic review of the Code.
The Code is brought to the attention of all internal and external stakeholders through specific communication activities.
The Code is published on the company’s website and is distributed through the security portal if present.
In order to ensure a correct understanding of the Code, the Management implements, also based on any indications from the Supervisory Board for the application of the Code, a regular communication/training plan aimed at promoting knowledge of the principles and ethical rules contained in the Code. Training initiatives can be differentiated according to the role and responsibility of employees.
In the event of ascertained violation of the Code of Ethics, compliance with which constitutes an essential part of the contractual obligations assumed by employees and/or collaborators and/or persons who, for whatever reason, work for the Company, disciplinary measures shall be adopted, where deemed necessary for the protection of the Company’s interests and compatible with applicable legislation, which may also result in the termination of the relationship and compensation for damages suffered.
Interested parties may report, in writing and not anonymously, any violation or suspected violation of the Code to the Supervisory Board, which shall analyse the report, possibly hearing the author and the person responsible for the alleged violation. The Board acts in such a way as to guarantee the reporters against any kind of retaliation, understood as an act that may give rise to even the mere suspicion of being a form of discrimination or penalisation. The confidentiality of the identity of the reporter is also guaranteed, without prejudice to legal obligations.
The Board shall report the report and any suggestions deemed necessary to the Management.
The competent departments define the measures to be taken, ensure their implementation and report the outcome to the Supervisory Board.
